AgriTrekker – Terms and Conditions

1. Definitions

For clarity, the following terms have the meanings below:

• "AgriTrekker" / "the Service" — The AgriTrekker web and mobile applications operated by Agri Sync Solutions (Pty) Ltd.
• "We", "Us", "Our" — Agri Sync Solutions (Pty) Ltd, Reg. No. 2024/505036/07.
• "User" — Any person authorised by a business to access the Service.
• "Business Account" / "Account" — A registered business entity using AgriTrekker's services.
• "Content" / "Data" — Any information entered into the Service including fuel logs, employee information, assets, and operational data.
• "Subscription" — Paid access to AgriTrekker on a monthly or annual basis.
• "Personal Information" — As defined in the Protection of Personal Information Act, 2013 (POPIA).

3. Eligibility & Territory

• The Service is intended for businesses in agricultural and related sectors (B2B use).
• Users must have authority to bind their business to these Terms.
• Accounts must be created for legitimate business use only.
• We may verify identity or company details to prevent fraud, payment abuse, or chargebacks.

4. Service Description

AgriTrekker provides digital tools for agricultural fuel management, including:

Web Application

• Business creation
• Employee and account management
• Asset (vehicles, pumps, tanks) management
• Automated anomaly detection
• Dashboards and analytics
• Interfaces to correct anomalies or logs

Mobile Application

• Field activity logging
• Offline storage with synchronisation
• Real-time alerts
• Asset creation
• On-device dashboards

Advisory Only

AgriTrekker provides decision-support tools.

All operational decisions remain the responsibility of the business.

5. Accounts

• Each business requires its own subscription.
• Account owners are responsible for all actions performed under their login.
• Credentials must be kept confidential.

6. Subscription & Payment

• Subscriptions are billed monthly or annually, in advance.
• Payments are processed securely via Paystack.
• We do not store or process card details. Paystack's terms apply.
• A 30-day money-back guarantee applies to first-time subscriptions.
• Refunds after 30 days are only processed if legally required.
• If payment lapses, access is suspended until payment is restored.
• You may export your data up to 30 days after access ends.

Chargebacks

If a payment dispute occurs, you agree to cooperate with us and Paystack in resolving it.

7. Data Ownership & Licence

• All data you submit remains your property.
• You grant us a limited licence to store, process, and display your data for:
  • providing the Service,
  • generating aggregated (de-identified) analytics,
  • improving features and performance.

We will never sell identifiable data to third parties.

8. Data Retention & Deletion

• For terminated accounts: Data is deleted within 30 days.
• For active accounts: We may delete operational data older than 5 years.
• Backups are retained for 7 days for disaster recovery.
• Statutory data (financial/tax) may be retained 5–7 years under South African law.
• User accounts can be deleted upon written request.

9. Privacy & POPIA

We comply with POPIA and act as an Operator for your business data.

Security Breaches

If Personal Information is compromised, we will notify:

• the affected business, and
• the Information Regulator, as soon as reasonably possible (POPIA s22).

Cross-Border Transfers

• Primary storage is on Google Cloud's Johannesburg region (africa-south1).
• Some Firebase services may process data in the United States.
• Transfers comply with POPIA s72 using Google's Data Processing Addendum.

10. Third-Party Services

AgriTrekker relies on:

• Google Cloud & Firebase (hosting, storage, authentication, backups)
• Paystack (payment processing)

Service availability is linked to these providers.

11. Security

We implement industry-standard controls including:

• TLS encryption in transit
• Encryption at rest
• Least-privilege access
• Multi-factor authentication for admin accounts
• Audit logging and monitoring

12. Service Availability

We aim for high availability but provide no uptime guarantee.

Scheduled Maintenance

• Sundays 03:00–04:00 GMT+2

Unscheduled Downtime

Support can be contacted via email or WhatsApp.

13. Support

14. Acceptable Use

You may not:

• Use the Service unlawfully
• Perform DDoS, penetration testing, or attack the platform
• Reverse-engineer or scrape the Service
• Circumvent usage limits or security controls

15. User Responsibilities

Users must:

• Enter accurate and complete operational data
• Verify automated outputs before acting on them
• Maintain independent checks on fuel operations
• Ensure compliance with POPIA for Personal Information uploaded

AgriTrekker is not an officially certified measuring instrument.

16. Intellectual Property

• All software, code, designs, data models, trademarks, logos, and content provided by AgriTrekker are owned exclusively by Agri Sync Solutions (Pty) Ltd.
• You receive a limited, non-exclusive, revocable licence to use the Service for your business.
• You may not copy, modify, or create derivative works of any part of the Service.

17. Modifications to the Service

We may, at our discretion:

• Add or remove features
• Modify functionality
• Update the user interface
• Introduce new modules or discontinue old ones

Changes may occur without prior notice.

18. Beta or Experimental Features

If we release any beta/preview features:

• They are provided as-is
• They may be changed or removed at any time
• No warranties apply to beta features
• Use is at your own risk

19. Disclaimers

The Service is provided "as is" without warranties of any kind.

We do not guarantee:

• accuracy of calculations
• detection of all anomalies
• prevention of theft or fuel loss
• uninterrupted availability
• error-free operation

20. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for all claims is limited to the total subscription fees paid in the preceding 12 months.
• We are not liable for indirect or consequential damages, including loss of revenue, profits, or data.

This clause does not limit liability for:

• fraud
• gross negligence
• wilful misconduct

(as required by the Consumer Protection Act).

21. Indemnification

You indemnify and hold harmless Agri Sync Solutions from any claims, losses, or damages arising from:

• incorrect data you submit
• misuse of the Service
• violation of POPIA by your business
• unlawful use of the platform
• third-party claims caused by your actions
• breaches of these Terms

22. Force Majeure

We are not liable for failure to perform due to events beyond our control, including:

• load shedding
• power failures
• network or telecommunications outages
• war, unrest, or strikes
• natural disasters
• global cloud provider outages
• government actions

23. Termination

Either party may terminate with written notice.

We may suspend or terminate immediately for:

• non-payment
• breach of these Terms
• suspected misuse or fraud

Data deletion follows Section 8.

24. Amendments

We may update these Terms with 14 days' notice.

Continued use of the Service constitutes acceptance of the updated Terms.

25. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa.

26. Miscellaneous

• Entire Agreement: These Terms + referenced third-party terms form the full agreement.
• Severability: If one clause is invalid, the others remain enforceable.
• No Waiver: Failure to enforce rights does not constitute a waiver.
