Introduction. These Referral Program Terms and Conditions (“Terms”) govern participation in the Agri Sync Solutions (Pty) Ltd (“the Company”, “we”, “our”, “us”) Referral Program (“the Program”). By registering as a referrer, you agree to comply with these Terms.

Definitions
- Referrer means a natural person or legal entity that joins the Program and promotes the Company’s software using a unique referral link or code.
- Referred Customer means a South African farmer, farming business, or agricultural operation that signs up and pays for an active subscription through a valid referral.
- Commission means the referral reward earned based on the subscription payments made by a Referred Customer.
- South African Bank Account means any bank account held at a financial institution registered in the Republic of South Africa.
Eligibility
Referrer eligibility
- Be at least 18 years old.
- Be a South African resident with a valid South African bank account.
- Register on our website and accept these Terms.
Referred customer eligibility
- Must be a South African farmer or farming business.
- Must not already be an existing customer or previously contacted lead of the Company.
- Must sign up using the Referrer’s unique referral link or code.
Exclusions
- Self-referrals.
- Referrals made without using the unique referral link or code.
- Duplicate referrals.
- Referrals to non-South African farmers or operations.
- Referrals where payments originate from non-South African bank accounts.
Commission structure
Referrers earn Commission based on the actual subscription fees paid by the Referred Customer:
- 30% of the monthly subscription fee for Months 1–12.
- 15% of the monthly subscription fee for Months 13–36.
The Commission period per referral is up to 36 months or until the Referred Customer cancels or becomes inactive — whichever occurs first.
If a subscription payment is reversed, refunded, or dishonoured, no Commission is paid for that period.
Payouts and payment terms
- Commissions accrue as long as the Referred Customer maintains an active, paid subscription.
- Payouts are made monthly, only if the accumulated Commission balance is at least R50.
- If the balance is below R50, payouts are held and processed quarterly.
- Payments are made only to South African bank accounts belonging to the Referrer.
- Referrer is responsible for ensuring accurate bank details and for any applicable taxes.
Referral tracking
Tracking is automated through each Referrer’s unique referral link or code.
The Company is not responsible for lost tracking due to:
- Privacy settings, browser extensions, or ad blockers.
- Incorrect sharing of referral links.
- User error during signup.
The Company’s tracking system is final for determining valid referrals.
Referrer conduct rules
Referrers must:
- Promote the Program truthfully and ethically.
- Not engage in spam, misleading advertising, mass unsolicited messaging, or misrepresentation.
The following are strictly prohibited:
- Buying ads using the Company’s brand name.
- Fraud, fake referrals, or attempts to manipulate the system.
- Misleading farmers about pricing or capabilities of the software.
Violations may result in termination of Program participation and forfeiture of unpaid commissions.
Data protection (POPIA compliance)
- The Company processes personal information in accordance with the Protection of Personal Information Act (POPIA).
- Referrers may not collect or share third-party personal information without consent.
- The Company will only use data for the administration of the Program and service delivery.
Termination of participation
The Company may suspend or terminate a Referrer’s participation if:
- These Terms are violated.
- Fraudulent or unethical behaviour is detected.
- Legal or regulatory issues arise.
Referrers may cancel their participation at any time by written notice.
If terminated for violation, unpaid commissions may be forfeited.
Program changes
The Company reserves the right to:
- Modify Commission rates.
- Modify payout rules.
- Update Terms.
- Terminate the Program.
Changes will not retroactively affect commissions already earned but may impact commissions going forward.
Where reasonably possible, the Company will provide notice to Referrers before changes take effect.
Limitation of liability
To the extent permitted by South African law, the Company is not liable for:
- Loss of income or profits resulting from Program participation.
- Technical issues affecting referral tracking.
- Bank delays or payment processing issues.
Referrers participate at their own risk.
Governing law
These Terms are governed by the laws of the Republic of South Africa.
Any disputes shall be resolved in South African courts with jurisdiction over the Company’s registered address.
Acceptance
By registering for the Referral Program, you confirm that you have read, understood, and agree to be bound by these Terms.
